We’re excited to announce an opening for a Senior Business Paralegal in Cleveland, supporting an established law firm’s Business team. This role involves substantial legal work under attorney supervision, with a strong focus on delivering exceptional client service. Key Responsibilities

  • Draft and review legal documents and correspondence for Business and Finance matters.
  • Conduct factual legal research using print and electronic resources.
  • Collaborate with outside counsel, filing agents, and clients.
  • Organize and maintain files, manage DocuSign signatures, and compile closing materials.
  • Assist with due diligence for transactions and prepare documentation for business entity formation.
  • Coordinate state filings (including Articles of Incorporation/Formation), lien searches, and other external services.
  • Maintain corporate minute books, ownership certificates, and ledgers.
  • Prepare closing binders and keep electronic data rooms up to date.
  • File documents with government bodies (states, FINRA, SEC) and process invoices.
  • Manage time entries, prioritize tasks, and communicate deadlines effectively.

Qualifications

  • Paralegal degree/certificate from an ABA-approved program or equivalent experience.
  • Corporate law experience (preferred) with strong knowledge of Secretary of State websites (Ohio, Indiana, Kentucky).
  • Proficiency in Microsoft Office, Adobe Acrobat, and common legal research tools (WestLaw, Lexis/Nexis, PACER).
  • Familiarity with document management systems (e.g., iManage) and electronic data rooms.
  • Ability to maintain confidentiality and demonstrate excellent attention to detail.
  • Experience in DocuSign, CARTA, and transactional document preparation a plus.
  • Notary Public certification preferred.
