Our client, an Austin area law firm, is looking to hire an experienced Corporate Paralegal to join their team.  The Corporate Paralegal will assist attorneys in the Corporate practice group in all phases of entity formations, mergers/acquisitions, client meetings, research and drafting of documentation. The specific duties will vary depending on the specific type of transaction.


Essential Duties and Responsibilities:

  • Communicate with clients as needed to obtain documentation and information to prepare organizational documentation.
  • Draft and review organizational documents, such as Articles of Incorporation, Bylaws, Stock Certificates, Written Consents, Minutes, etc.
  • Assist in the preparation and maintenance of corporate minute books.
  • Keep track of and file corporate records, such as annual reports.
  • Assist in preparation and filing of county-level documents affecting real property interests.
  • Prepare closing binders.
  • Request Employer Identification Numbers and prepare UCC agreements as instructed.
  • Communicate with the Secretary of State personnel to track and verify filings.
  • Assist in reviewing due diligence documentation with respect to acquisitions and mergers.
  • Perform legal research, including use of Westlaw, Lexis, etc.
  • Maintain professionalism and strict confidentiality in all client and firm matters.

Knowledge, skills and abilities required:

  • Must have a four-year degree or Paralegal Certificate. 3 or more years of experience as a corporate paralegal in a law firm environment is required.
  • Excellent interpersonal, verbal, and written communication skills.
  • Ability to proof and perform editing (e.g., punctuation, grammar, spelling) of routine law office correspondence, documentation related to various corporate transactions, and general legal matters. Perform non-complex arithmetic calculations when verifying calculations on forms and documents; maintain records and filing systems at a level normally acquired through completion of a four-year degree or Paralegal Certificate.
  • Ability to compile and analyze data and furnish information in report format, written correspondence, e-mail, or verbally.
  • Ability to organize and prioritize numerous tasks and complete them under time constraints.
  • Ability to proofread typed material for grammatical, typographical or spelling errors.
  • Interpersonal skills necessary to communicate and follow instructions effectively from a diverse group of clients, attorneys and staff to provide information with courtesy and tact.
  • Interpersonal skills necessary to communicate in person, by e-mail and telephone to provide information with courtesy and tact.
  • Work occasionally requires more than 40 hours per week to perform the essential duties of the position; may require irregular hours.
  • Other duties as assigned by the employer.
