CAPITAL MARKETS JUNIOR ASSOCIATE ATTORNEY – Location Flexible

Our client, a respected AmLaw 100 firm, is seeking a highly motivated Junior-Level Associate Attorney to join its Capital Markets and Corporate Transactions Practice Group. This position offers an exciting opportunity to work on cutting-edge transactions and play an advisory role with clients in a range of industries.

Candidate Profile:

• JD from a top-tier law school with a strong academic record.
• Bar Admission in relevant jurisdiction required.
• 2–3 years of substantive law firm experience in capital markets and corporate transactional matters.
• Comprehensive knowledge of the Securities Act, Securities Exchange Act, and related regulations is required.
• Experience with the preparation and filing of periodic reports and public and private securities offerings.
• Preferred experience with securities offerings including CMPOs, RDs, PIPEs, and ATMs.
• Strong drafting and negotiating skills, with a demonstrated aptitude for handling complex deals.
• A desire for client contact and the ability to thrive in a fast-paced, deal-focused environment.

Key Responsibilities:

• Advise clients on a broad range of capital markets and corporate transactions.
• Prepare and file periodic reports under the Securities Act and Securities Exchange Act.
• Manage public and private securities offerings, with a focus on compliance and regulatory requirements.
• Draft and negotiate key transaction documents.
• Collaborate closely with clients to structure, execute, and close sophisticated deals.
