Are you a skilled attorney with a passion for executive compensation and employee benefits law?

 

Our client, an AmLaw 100 technology & life sciences firm, is seeking an Associate Attorney to join their thriving Executive Compensation & Employee Benefits Practice Group in Silicon Valley, San Francisco, Santa Monica, or New York. This is an exceptional opportunity to work on sophisticated compensation matters, including M&A transactions, tax and securities law compliance, and equity incentive programs for leading technology and Fortune 500 companies.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.

  • Bar admission in the relevant jurisdiction, or eligibility to sit for/waive into the next bar exam.

  • 1–3 years of substantive experience handling executive compensation matters, with a focus on M&A transactions, tax, and securities law issues.

  • Significant deal experience, including advising on compensation and benefits issues in mergers, acquisitions, and financings.

  • Excellent drafting, negotiation, and client advisory skills.

 

Key Responsibilities:

  • Advise clients on executive compensation, employee benefits, and equity incentive programs in the context of corporate transactions, including mergers and acquisitions.

  • Navigate complex tax and securities law issues related to compensation structures.

  • Collaborate with corporate, tax, and employment teams to provide comprehensive legal counsel to clients.

  • Conduct due diligence and risk assessment related to compensation and benefits in transactional matters.
